Terms & Conditions

Welcome to CIRRUS Information Technology Resources LLC ("CIRRUS", "we", "us", or "our"). By accessing or using our services, website, or any related content, you agree to comply with and be bound by the following Terms & Conditions. These terms are designed to protect both our business and our clients while ensuring a clear and professional relationship.

1. Scope of Services

CIRRUS provides managed IT services, cybersecurity, cloud solutions, consulting, and related support services. The specific scope of services will be outlined in a service agreement, statement of work (SOW), or contract signed between CIRRUS and the client. Any services not explicitly listed in the agreement will be subject to additional charges.

2. Client Responsibilities

Clients are responsible for providing timely access to systems, personnel, documentation, and information required for service delivery. Clients must maintain up-to-date licensing for all software, hardware, and third-party tools not provided by CIRRUS. CIRRUS shall not be held liable for service interruptions caused by client-side misconfigurations or failure to comply with agreed-upon obligations.

3. Service Availability and Response Times

While CIRRUS endeavors to provide reliable and timely services, response times are based on priority levels and outlined in your service agreement or SLA. CIRRUS does not guarantee 100% uptime and shall not be liable for interruptions due to force majeure, third-party service outages, or scheduled maintenance.

4. Payment Terms

Invoices are due within fifteen (15) days of the invoice date unless otherwise stated in a signed agreement. Late payments may be subject to a late fee of 1.5% per month or the maximum amount permitted by law. CIRRUS reserves the right to suspend services for accounts with overdue balances beyond thirty (30) days.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of service. CIRRUS will not disclose any client data without written consent, except as required by law. CIRRUS is not liable for breaches resulting from client negligence or third-party security flaws beyond our control.

6. Limitation of Liability

To the maximum extent permitted by law, CIRRUS shall not be liable for indirect, incidental, special, or consequential damages arising from the use of our services. CIRRUS’s total liability, whether in contract or tort, shall not exceed the total amount paid by the client for services in the three (3) months preceding the claim.

7. Intellectual Property

Any proprietary tools, scripts, configurations, or software developed by CIRRUS during the engagement remain the intellectual property of CIRRUS unless otherwise agreed in writing. The client receives a non-transferable, non-exclusive license to use such tools solely for internal business operations.

8. Termination

Either party may terminate the service agreement with thirty (30) days written notice. CIRRUS reserves the right to immediately suspend or terminate services if the client breaches these terms, including non-payment or misuse of services. Upon termination, all outstanding fees become immediately due.

9. Data Protection & Backup

CIRRUS will implement best-practice backup solutions if such services are included in the agreement. However, the client is ultimately responsible for ensuring the availability and integrity of its data. CIRRUS does not warrant the recoverability of data beyond the scope of services provided.

10. Governing Law

These Terms & Conditions shall be governed by the laws of the State of [Insert State], without regard to its conflict of law provisions. Any disputes arising from or relating to these terms shall be resolved in the courts located within [Insert County, State].

11. Amendments

CIRRUS reserves the right to update or modify these Terms & Conditions at any time. Changes will be posted on our website or provided in writing. Continued use of services after any such changes constitutes acceptance of the revised terms.
